Terms of Engagement

Establishing the standards of intellectual rigor, professional accountability, and cultural stewardship that govern our consultancy partnerships.

01Definitions

Throughout these Terms of Engagement, the following terminology applies: “The Consultant” refers to Knowledge & Culture, and “The Client” refers to the entity engaging our specialized ethnographic and management services.

References to reports, findings, frameworks, and deliverables include all written, visual, and digital materials produced during the engagement. Any obligations described herein apply equally to employees, contractors, and representatives acting on behalf of either party.

02Scope of Services

The Consultant shall provide professional expertise as detailed in the signed Statement of Work. All research methodologies, ethnographic observations, and cultural audits are conducted with academic precision.

  • ◎ Detailed qualitative research and data synthesis.
  • ◎ Corporate cultural alignment and strategy development.
  • ◎ Archival management and knowledge preservation protocols.

The specific scope, timelines, deliverables, and stakeholder responsibilities shall be defined in the applicable Statement of Work. Any material expansion of scope may require mutual written approval and adjustment of project schedules or fees.

03Confidentiality

Intellectual discretion is the cornerstone of our practice. Both parties agree that all Proprietary Information disclosed during the term of this engagement shall be held in the strictest confidence.

Confidential information includes operational processes, strategic plans, research findings, internal communications, and any information reasonably understood to be proprietary. Such information shall not be disclosed to third parties without prior written consent except where required by law.

04Intellectual Property

Upon full payment of all fees, the Client shall receive a perpetual license to utilize the deliverables for their intended internal purposes. All background methodologies and proprietary frameworks remain the sole property of Knowledge & Culture.

Client Ownership

Final reports, custom datasets, and localized cultural playbooks generated specifically for the engagement.

Consultant Ownership

The Cultural Rigor Framework, ethnographic data collection software, and pre-existing research models.

05Limitation of Liability

Our liability for any claim arising out of these Terms of Engagement shall be limited to the total fees paid by the Client for the specific services giving rise to such claim. We provide cultural insights, not legal or financial advice.

In no event shall either party be liable for indirect, incidental, or consequential damages arising from the use of recommendations, reports, or strategic guidance provided during the engagement. Decisions based on consultancy findings remain the responsibility of the Client.

06Termination

Either party may terminate the engagement with thirty days written notice. In the event of termination, the Client shall be liable for all services rendered and expenses incurred up to the effective date of termination.
